1ONUS Merchant Terms and Conditions

1. Acceptance of Terms
By participating in the 1ONUS coupon program, you (“Merchant”) agree to comply with and be bound by the following terms and conditions (“Terms and Conditions”). These Terms and Conditions govern your access to and use of the 1ONUS mobile application (“App”) and Merchant Portal provided by Sharbain Technologies LLC, doing business as 1ONUS (“1ONUS”).
2. Definitions
- Coupons/Offers: Promotional offers that provide discounts or special deals to customers.
- App: The 1ONUS mobile application where Coupons are offered to customers.
- Merchant Portal: The online platform provided by 1ONUS for Merchants to manage their profile and related activities.
- Customer: Any individual who uses the 1ONUS App to access listed merchants.
- Subscribers: Any individual who purchased a subscription product and uses the 1ONUS App to redeem the coupons.
3. Participation Requirements
3.1 Coupon Creation and Management: 1ONUS shall be responsible for creating, managing, and updating Coupons on the App and Merchant Portal. Coupons must be accurate, clearly defined, and up-to-date as per the agreement between both parties.
3.2 Compliance: Merchant agrees to comply with all applicable laws and regulations related to the participation in the coupon program and distribution of Coupons.
3.3 Redemption: Merchant agrees to honor all valid Coupons presented by Customers within the specified redemption period.
4. Coupon Program
4.1 Authorization: 1ONUS is authorized to promote Coupons on Merchant’s behalf, with Coupons available for redemption by end-users on the mobile app upon purchasing a subscription. The process of redemption shall include the following steps:
- The user selects the offer for use on the App.
- The merchant is prompted to enter their PIN.
- Once the merchant has entered their PIN, the offer will be redeemed, and the merchant must record the confirmation number for reconciliation/tracking purposes.
- The merchant removes the item or service from the user’s invoice.
4.2 Coupon Validity for Multi-Location Merchants: For Merchants with multiple locations, the Coupon can be shared and redeemed at any participating location (at the discretion of the merchant upon signing). The Merchant must ensure that all locations comply with the terms of this Agreement and honor the Coupon consistently across all locations. Any discrepancies or failures to honor the Coupon at any location will be considered a breach of this Agreement.
4.3 Exclusivity: The Merchant agrees that it will not feature a copy of the Deal Offering on the Website and App on similar deal websites, in-house, or on any other sales channel during the same period unless agreed in advance by both parties. 1ONUS reserves the right to suspend the Merchant Offerings if this exclusivity agreement is breached until the issue has been investigated and resolved.
5. Term
5.1 Duration: This Agreement shall remain in effect indefinitely unless terminated by either party in accordance with Section 8 (Termination).
5.2 Termination: Either party may terminate this Agreement with 30 days’ written notice to the other party.
6. 1ONUS Responsibilities
6.1 Platform Availability: 1ONUS will make reasonable efforts to ensure that the App and Merchant Portal are available to Customers and Merchants, respectively, for accessing and managing Coupons.
6.2 Promotion: 1ONUS may promote Merchant’s Coupons through various marketing channels to increase visibility and customer engagement.
7. Intellectual Property
7.1 Ownership: All intellectual property rights related to the App, Merchant Portal, and the 1ONUS brand are owned by Sharbain Technologies LLC. Merchant retains ownership of its own trademarks and copyrighted material used in Coupons.
7.2 License: Merchant grants 1ONUS a non-exclusive, royalty-free license to use its trademarks and copyrighted material solely for the purpose of promoting Coupons on the App and Merchant Portal.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information received from the other party during the term of participation in the 1ONUS coupon program. This obligation will survive termination of participation.
9. Limitation of Liability
1ONUS shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms and Conditions. The total liability of 1ONUS shall not exceed the amount paid by Merchant under these Terms and Conditions.
10. Indemnification
Merchant agrees to indemnify, defend, and hold harmless 1ONUS from and against any claims, liabilities, damages, and expenses arising out of or related to Merchant’s breach of these Terms and Conditions or Merchant’s Coupons.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the state in which Sharbain Technologies LLC is registered.
12. Miscellaneous
12.1 Entire Agreement: These Terms and Conditions constitute the entire understanding between the parties and supersede all prior agreements.
12.2 Amendments: Any amendments to these Terms and Conditions must be in writing and updated on this page.
12.3 Severability: If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions will continue in full force and effect.
